Artist Agreement
1. You authorize SONGS FOR FILM AND TV (“SFFTV”) to offer licenses to third parties such as advertisers, television,
cable and radio producers and programmers, and other creative types in the various media (“Users”) to use your musical
tracks (“Music”), on a non-exclusive basis, in synchronization with radio, cable, television, motion
pictures, Internet or other visual or audio alone program, promotion, information, entertainment, or advertising material or
service and for other uses. The License Agreement does not grant to anyone the right to make or sell records of your music.
SFFTV will make the Music available to audition and to review at its website, and may send sampler CDs to select clients.
2. You agree that SFFTV can represent the master materials for the Music which you submit to us for licensing in perpetuity, or until canceled. If you wish to terminate SFFTV’S right to represent your Music, you may do so by sending SFFTV a written
notice, and then the termination will be effective ninety (90) days later. The period of time for which a User has the right to
use any of your Music will depend on the term of each license that the User purchases for any of your Music, and this period
will continue with respect to all agreements which SFFTV has entered into prior to any cancellation by you of SFFTV’S
rights.
3. You retain ownership or copyright of the master recordings and the musical compositions; you are only granting to
SFFTV the non-exclusive right to use and license the Music. Exclusive licenses will be granted only with your express prior
written approval.
4. The license fees paid by the Users and performance royalties derived from placements that SFFTV has directly generated will be divided between you and SFFTV based upon percentages that you and SFFTV
discuss and agree upon, which will be stated in your contract. SFFTV will then account to you and remit your Share of the monies
received by SFFTV. Payments will be made quarterly.
5. SFFTV will use its business judgment to set rates based on the type of use, the frequency and duration of the use, the size
of the relevant market, and other factors.
6. Users will be allowed limited editing rights in the Music but the fundamental character of the Music and/or the title of the
Music will not be changed. Users may be licensed the right to use some or only portions of the Music.
7. You are asked to confirm that all of the Music you submit is original to you and/or controlled by you, and if
anyone else successfully proves in a legal proceeding to the contrary, you will pay for any losses of SFFTV and
others suffered as a result.
8. SFFTV does not pay you for transmitting your material to a User to audition via SFFTV’S website or otherwise. Payment
is due concerning the Music only when the User actually licenses the Music from SFFTV.
